Why Fractional Has Lower PE Risk Than Contractor

The multi-client structure is critical. A fractional expert who genuinely serves 3–4 companies simultaneously is unlikely to be deemed a dependent agent of any single client. The independence is structural, not merely contractual.

Compare to CON-Strategic (GEMM-05): an embedded contractor working exclusively for one US company, full-time, is both a misclassification risk and a potential dependent agent — even if the contract says "contractor."

  • Multiple active clients (minimum 2, ideally 3+)
  • Time-bounded engagements with renewal terms
  • No exclusivity clauses
  • Expert uses their own equipment and sets their own schedule
