1. About GemmWork and These Terms

GemmWork (gemmwork.io) is operated by KozaWings Inc., a company registered in Okinawa, Japan. These Terms of Service (“Terms”) govern your access to and use of the GemmWork website, tools, reports, and related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Definitions

Term	Meaning
Service	The GemmWork website (gemmwork.io), including all pages, tools, reports, APIs, and related digital properties.
GEMM Framework	The Global Employment Mode Matrix — GemmWork's proprietary classification system for international employment configurations.
GEMM Navigator	The interactive diagnostic tool that generates employment mode recommendations based on user inputs.
Report	The Employment Intelligence Report generated by the GEMM Navigator, delivered via web page, email, and/or PDF.
User / You	Any individual or entity accessing or using the Service.
Affiliate Partner	A third-party service provider (e.g., Deel, Remote.com) whose products are referenced in the Service and from whom GemmWork may earn referral commissions.

3. Nature of the Service — What GemmWork Is and Is Not

3.1 An Information Media Platform

GemmWork is an information media platform that publishes educational content about international employment structures. We do not provide:

Legal advice or legal opinions
Tax advice or tax planning services
Employment services, staffing, or recruitment
Employer of Record (EOR) services
Immigration or visa services
Financial advisory or investment advice

3.2 Tools Are Simulations, Not Professional Assessments

The GEMM Navigator, EOR Cost Calculator, and all other interactive tools on GemmWork are educational simulations that produce general informational output based on user-provided inputs and publicly available data. They are not professional assessments, compliance audits, or certified evaluations.

Tool outputs — including employment mode recommendations, cost estimates, risk scores, and compliance indicators — are approximations intended to support your research process. They should not be relied upon as the sole basis for any business, legal, tax, or employment decision.

Before making any hiring decision, structuring any international employment arrangement, or taking any action based on information from GemmWork, consult qualified legal counsel and tax advisors in the relevant jurisdiction(s).

4. Affiliate Relationships — Full Disclosure

4.1 We Earn Referral Commissions

GemmWork participates in affiliate programs operated by third-party employment service providers. When you click certain links on GemmWork and subsequently purchase or sign up for a service, GemmWork may earn a referral commission at no additional cost to you.

Current affiliate partners include:

Deel (EOR, contractor management, entity setup)
Remote.com (EOR, contractor management)
Toptal (freelance talent matching)

This list may change. Affiliate links are identified throughout the Service.

4.2 Our Recommendations Are Independent

Affiliate relationships do not influence the GEMM Framework's classification logic, the GEMM Navigator's recommendations, or the content of any Report. The algorithmic scoring within the GEMM Framework operates independently of commercial considerations.

4.3 No Responsibility for Third-Party Services

GemmWork has no control over and accepts no responsibility for the products, services, pricing, terms, availability, or performance of any Affiliate Partner or other third party referenced on the Service. Your relationship with any such third party is governed solely by that party's own terms and policies.

5. Intellectual Property

5.1 GemmWork Content

All content on GemmWork — including text, graphics, logos, data compilations, software, the GEMM Framework methodology, and the design of Reports — is the property of KozaWings Inc. or its licensors and is protected by applicable intellectual property laws.

5.2 Limited License

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. You may share Reports generated for your own use within your organization. You may not redistribute, resell, or commercially exploit any content from GemmWork without prior written consent.

5.3 User Inputs

You retain ownership of all data you provide to the Service (e.g., company information, hiring requirements). By using the Service, you grant GemmWork a limited license to process your inputs solely for the purpose of generating your Report and improving the Service.

6. Get Report — Email Registration

6.1 Email Collection

To access your full Employment Intelligence Report, you are asked to provide a valid email address. This is a voluntary exchange: your email in return for a personalized report.

6.2 What We Send

By providing your email through the Report flow, you consent to receive: your Report delivery email, a limited sequence of follow-up emails related to your results (typically 3–5 emails over 30 days), and occasional updates about GemmWork features relevant to your use case. Every email includes a one-click unsubscribe link.

6.3 No Account Required

GemmWork does not require account creation. Your email is the only personal identifier collected in the Report flow. See our Privacy Policy for full details on data handling.

7. Prohibited Conduct

You agree not to:

Use the Service for any purpose that violates applicable law or regulation
Scrape, crawl, or automatically extract content from the Service at scale without permission
Reverse-engineer, decompile, or attempt to extract the source code of the GEMM Framework or any GemmWork tool
Misrepresent GemmWork output as professional legal, tax, or compliance advice
Resell, redistribute, or white-label Reports or tool outputs without written authorization
Interfere with the operation, security, or availability of the Service
Use automated means to submit false or misleading data to the tools

8. Disclaimers and Limitation of Liability

8.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GEMMWORK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT ANY INFORMATION PROVIDED BY THE SERVICE IS ACCURATE, COMPLETE, OR CURRENT.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KOZAWINGS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR RELATED TO THE SERVICE; (C) ANY ACTION TAKEN IN RELIANCE ON INFORMATION PROVIDED BY THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR DATA.

9. Service Changes and Termination

GemmWork reserves the right to modify, suspend, or discontinue any part of the Service at any time without prior notice. We may update tool methodologies, scoring algorithms, and content as new data becomes available. Cached Reports reflect data available at the time of generation and are not automatically updated.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be indicated by updating the “Last Updated” date at the top of this page. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the Naha District Court in Okinawa, Japan.

12. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and KozaWings Inc. regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment: GemmWork may assign its rights and obligations under these Terms without restriction. You may not assign your rights without our prior written consent.
